The Competition Council has authorized the transaction by which MidEuropa VI Management Limited intends to acquire, together with Andrei Bojiță, Romanian Business Consult and its subsidiaries, the competition authority announced.
”MidEuropa is a private equity investment group active in Central Europe, including Romania, with a portfolio of mainly medium-sized companies in the consumer goods, healthcare and technology sectors. Andrei Bojita holds stakes in Romanian Business Consult and its subsidiaries. He also owns, in Romania, two real estate vehicle companies through a holding company in Cyprus, with no income registered in Romania.
Romanian Business Consult is a company that provides services such as: IT solutions for the retail, banking and food industry.
„Following its analysis, the Competition Council has found that the transaction does not significantly impede effective competition in the Romanian market or a part of it and there are no serious doubts as to its compatibility with a normal competitive environment,” Competition Council officials say.
The company's founder and CEO, Andrei Bojiță, will retain a significant stake and will continue to run the business. By partnering with MidEuropa, RBC will be able to leverage the investor's operational expertise and regional experience to accelerate both organic growth and expansion through acquisitions in a market undergoing an accelerated process of digitization and automation, the company says.
„RBC is a solid platform with well-defined specialization, strong industry expertise and long-standing client relationships. We are delighted to be partnering with Andrei and the management team to support the company's growth ambitions and expansion through both organic growth and selective acquisitions,” Aleksandar Dragicevic, Director at MidEuropa, said previously.
Founded in 1991, RBC provides mission-critical IT systems and services to commercial, banking and industrial clients covering a full range of solutions including consulting, IT systems integration, software development, as well as maintenance and support services.
Over the years, the company has implemented a number of innovative solutions in the commerce market, such as self-checkout cash registers, real-time reporting and alerting applications based on technologies such as Big Data, Artificial Intelligence and Machine Learning as well as loyalty programs and consumer promotions (eLOY).
RBC says more than 80% of its clients have been working with the firm for more than 15 years, and it is recognized for its deep industry expertise.
The MidEuropa Investment Fund has some 25 years' experience of supporting companies, particularly in Central and Eastern Europe, with headquarters in London and with presences in Warsaw and Bucharest.
To date, MidEuropa has raised and managed over €6.8 billion in funds and completed 47 investments and over 290 complementary acquisitions in 20 countries.
MidEuropa until recently also owned the Profi stores, now partly sold to Ahold Delhaize (Mega Image) and partly sold to the Romanian chain Annabella.
