Carrefour has entered into exclusive negotiations with Pavăl Holding for the transfer of its Romanian operations, based on a valuation of the company of around €823 million.
Completion of the transaction is subject to obtaining the necessary approvals from the competent authorities and is expected in the second half of 2026.
According to a statement from the French company, the transaction is part of the strategic review process initiated by the Group in early 2025.
„The sale of Carrefour Romania reflects the solid progress of the portfolio review process initiated in early 2025. Following the significant transactions completed in the last 12 months - notably the acquisition of all minority stakes in Carrefour Brazil and the sale of Carrefour Italy - the Group is continuing its transformation and focusing on its three core strategic markets. In this context, we will present the key pillars of our strategic plan next week. I would like to thank all colleagues within Carrefour Romania for their dedication and professionalism, which have contributed to building a solid business. I am confident that this agreement with Pavăl Holding will represent an important opportunity for the company's continued growth and success,” said Carrefour's Chairman and CEO, Alexandre Bompard, quoted in the statement.
Pavăl Holding is the investment vehicle of the Pavăl family, some of the most important Romanian entrepreneurs and owners of Dedeman, the market leader in DIY retail in Romania and one of the most successful local entrepreneurial companies.
According to a Pavăl Holding press release issued on Thursday by Agerpres, the takeover of Carrefour's operations in Romania marks the expansion of the group's portfolio into a new strategic segment: food retail. In practical terms, this step represents a strategic step for Pavăl Holding, namely the consolidation of Romanian capital in a dynamic sector, long-term investments and the continuation of a sustainable development based on solid teams and partnerships.
Although Pavăl Holding has expanded its presence outside the country in recent years, with investments in sectors such as hospitality and DIY retail (Praktiker Hellas), Romania remains the group's main growth market. This transaction reflects confidence in the potential of local retail and a strong commitment to invest in the local economy and communities.
„We have always watched with interest the evolution of the business model developed by Carrefour. The idea of bringing together a wide range of products in one place has been an important landmark for us and has also inspired us in the way we developed Dedeman. At the same time, Carrefour Romania has opened important paths in the relationship with local producers, promoting the authenticity of Romanian products. It is a philosophy in which we fully share because a healthy business only grows together with the community that supports it”, said Dragoș Pavăl, president of Pavăl Holding and Dedeman, in a statement.
The law firm KPMG Legal - Toncescu și Asociații, together with the KPMG Tax and Advisory teams in Romania, is assisting Pavăl Holding in the exclusive negotiations regarding the acquisition of Carrefour's operations in Romania.
Carrefour Romania operates a multi-format network of 478 retail units, including 55 hypermarkets, 191 supermarkets, 202 convenience stores and 30 discount stores, and recorded gross sales (TTC) of around €3.2 billion in 2024 and estimated 2025, representing around 3.5% of the Group's total sales.
