José Garza, CEO of Premier Energy Group, stated: „This transaction represents a major milestone in Premier Energy's development, marking a transformative step in our regional strategy. By adding electricity distribution to our Romanian operations, we are incorporating an essential component that completes our integrated energy platform in Romania, our main market of operation. This allows us to better align electricity production, distribution, and supply, strengthening our ability to operate efficiently and generate value across the entire energy chain. At the same time, we are delighted to continue our collaboration with Macquarie Asset Management, following the successful acquisition of CEZ Vânzare, now Premier Energy Furnizare, completed in 2024. This transaction reinforces our commitment to our main market and provides a solid foundation for continued growth.”

Distribuție Energie Oltenia S.A. operates a regulated electricity distribution network in the southwestern region of Romania, spanning approximately 80,000 kilometers and serving around 1.5 million customers. The network is the third largest electricity distribution network in Romania and is an essential component of the national energy infrastructure. Evryo Power S.A. provides operational services, facilitates separation processes and activities, and contributes to the efficient functioning of the distribution platform through operational, commercial, and administrative functions.

For the acquisition financing, the Company is in advanced discussions with a global financial institution regarding a potential bond issuance, which is expected to include an initial bridge-to-bond financing package, with a medium-term plan to finance the entire acquisition or a portion thereof through the issuance of bonds.

Peter Stohr, CFO of Premier Energy Group, added: „This transaction is important from both an operational and financial perspective. By adding a regulated electricity distribution segment to our activities in Romania, we will improve the stability and predictability of our cash flows, while also supporting the Group's financial profile. The acquisition was agreed at a level close to the book value of the business, representing an attractive valuation, and underscores our ability to initiate and complete large-scale strategic transactions that will continue to create value for all stakeholders.”

The transaction is subject to the approval of Premier Energy shareholders, which will be sought at the next Annual General Meeting scheduled for June 10, 2026, as well as obtaining customary regulatory approvals. The financial closing of the transaction is estimated for the second half of 2026.
